This is a translation provided for convenience. The legally binding version of this document is the Russian one; in case of any discrepancy, the Russian text prevails.
Sole proprietor Sergey Yuryevich Korol, OGRNIP 325460000038746, TIN 461107156717, registered at 305540, Russian Federation, Kursk Region, Kursk District, village of Kolodnoye, Tikhiye Pereulochki St. 116 (hereinafter the Contractor/Seller), acting under Articles 435 and 437 of the Civil Code of the Russian Federation, offers to an unlimited number of persons (hereinafter the Buyer/Customer) to conclude a contract for the sale of goods and (or) the provision of paid services (hereinafter the Contract) on the terms set out below.
1. General provisions
1.1. This document is a public offer (hereinafter the Offer).
1.2. The Offer is published and made known to the Buyer/Customer on the Seller/Contractor's website grayking.ru and in the Telegram bots @GKPhoto_bot and @GKDesign_bot (hereinafter jointly the Platforms).
1.3. The Buyer/Customer placing and paying for an order on any of the Platforms constitutes full and unconditional acceptance of this Offer.
1.4. From the moment of acceptance the Offer has the force of a Contract concluded in written form (under Article 434 of the Civil Code of the Russian Federation).
2. Subject matter of the Contract
2.1. The Seller undertakes to transfer goods into the Buyer's ownership, and the Buyer undertakes to accept and pay for them. Goods include:
- physical goods — printed materials featuring the author's photography and merchandise;
- digital goods — files and digital materials delivered in electronic form, including sets of presets for image processing software and instructional and reference materials in electronic form.
2.2. The Contractor undertakes to provide services to the Customer, and the Customer undertakes to accept and pay for them. Services include:
- photographic services — photo sessions, photo days, and online and offline masterclasses;
- graphic and web design work — development of a logo and brand identity elements, design and build of websites and landing pages, development of sticker sets and custom emoji for messengers, development and configuration of chatbots, and support and amendment of previously created deliverables on a recurring payment basis.
2.2.1. Design deliverables are results of intellectual activity. The exclusive right to a deliverable approved and paid for by the Customer transfers to the Customer in full from the moment of payment in full and delivery of the files, unless the Parties have expressly agreed otherwise. The Contractor retains the right to use the deliverable and intermediate materials in his own portfolio and for promotional purposes, unless the Customer has stated otherwise in writing before the work begins.
2.2.2. The scope of work, the number of options and revisions, the deadlines and the price are agreed by the Parties before the work begins, in correspondence on any of the Platforms. Terms agreed in this way form an integral part of this Contract. The invoice sent by the Contractor to the Customer corresponds to the agreed terms; paying it constitutes acceptance of them.
2.2.4. Masterclasses are held in person or online according to the schedule announced by the Contractor. The venue, date, time, duration and price of participation are communicated before payment. Payment for participation reserves a place. The Contractor may reschedule a masterclass by notifying participants no later than 24 (twenty-four) hours before the start; in that case the participant may either attend on the new date or receive a full refund. If a participant cancels later than 24 hours before the start, the payment is not refunded. Masterclass materials are given to participants in electronic form and are intended for personal use; their distribution and publication are not permitted.
2.2.3. Support (running the website, amending copy and content, maintaining a chatbot) is paid for by a recurring payment for a billing period of one calendar month, unless another period has been agreed. The Customer may cancel support at any time by notifying the Contractor; the billing period already paid for is not refunded, and deliverables handed over earlier remain with the Customer.
2.3. The list, specifications, price and terms of supply of goods and services are published on the Platforms and form an integral part of this Offer.
3. Placing an order
3.1. The Buyer/Customer selects a product or service on one of the Platforms independently.
3.2. Orders are placed and paid for in the Telegram bots @GKPhoto_bot and @GKDesign_bot. An item is selected by pressing the corresponding button, after which the bot sends the Buyer/Customer a link to the bank's payment page. No payments are accepted on the website: the buttons on the site lead to the relevant Telegram bot or submit a request through the contact form.
3.3. A request submitted through the contact form on the website is not an order and creates no obligation to pay. Following such a request the Parties agree the scope, deadlines and price of the work, after which the order is placed and paid for as set out in clause 3.2 of this Offer or against an invoice issued by the Contractor.
3.4. An order is paid for without prior confirmation from the Seller/Contractor.
3.5. The moment payment is completed is deemed the moment the Contract is concluded and confirmation that the Buyer/Customer agrees to the terms of this Offer.
4. Price and payment
4.1. All goods and services are sold on 100% prepayment terms.
4.2. Prices are those stated on the Platforms at the moment the order is placed and include all applicable taxes.
4.3. Payment is made by bank card on the acquiring bank's payment page, the link to which is sent by the Telegram bot, or by another cashless method agreed by the Parties (including against an invoice).
4.4. Payment is deemed made from the moment the funds arrive in the Seller/Contractor's bank account.
4.5. After payment the Buyer/Customer receives an electronic till receipt in accordance with Federal Law No. 54-FZ “On the use of cash register equipment”.
5. Order fulfilment times
5.1. Digital goods are delivered to the Buyer automatically, immediately after the bank confirms payment, by sending the files to the same Telegram bot chat or to the email address given by the Buyer.
5.2. Physical goods are produced and dispatched within 7 (seven) business days of payment, unless stated otherwise on the Platform.
5.3. Photo sessions and masterclasses take place on the date, at the time and at the venue agreed with the Customer.
5.4. Finished photographs are delivered to the Customer within 7 (seven) business days of the photo session, unless the Parties have agreed otherwise.
6. Delivery and handover of goods
6.1. A digital product is deemed delivered to the Buyer from the moment the files are sent to the Telegram bot chat or to the Buyer's email address. No charge is made for delivering a digital product.
6.2. Physical goods are delivered by pickup or by postal and courier services at the Buyer's expense.
6.3. The cost and time of delivery are determined when the order is placed and are paid by the Buyer in addition to the price of the goods.
6.4. The risk of accidental loss of or damage to physical goods passes to the Buyer from the moment the goods are handed to the delivery service, or upon collection in the case of pickup.
7. Cancellation and refunds
7.1. The Buyer may return physical goods of proper quality within 14 (fourteen) calendar days of receipt, provided their presentation and consumer properties are intact (Article 26.1 of the Russian Law “On the protection of consumer rights”).
7.2. The cost of returning physical goods of proper quality is borne by the Buyer.
7.3. Exception: goods made to individual order (personalised prints and other bespoke work) may not be returned or exchanged.
7.4. Digital goods of proper quality are not refundable: by the nature of such goods they cannot be returned to the Seller, since the Buyer's continued access to and use of the files received cannot be ruled out. This condition is made known to the Buyer before payment.
7.5. If digital goods are delivered with defects — the files will not open, are damaged, are incomplete or do not match the description on the Platform — the Buyer may notify the Seller within 14 (fourteen) calendar days of delivery. At the Buyer's choice, the Seller either resends files of proper quality or refunds the amount paid in full within 10 (ten) calendar days.
7.6. If defects are found in physical goods, the Buyer must notify the Seller at art@graykingdesign.com and provide supporting materials (photographs, a description of the defect) no later than 3 (three) days after receiving the goods.
7.7. Participation in a photo session or masterclass may be cancelled no later than 5 (five) calendar days before the date of the service. If cancelled later, the amount paid is not refunded.
7.7.1. The Customer may cancel design work at any stage by notifying the Contractor. In that case the Contractor refunds the amount paid less the value of the part of the work actually performed (Article 32 of the Russian Law “On the protection of consumer rights”). The extent of the work performed is evidenced by the materials sent to the Customer.
7.7.2. Design deliverables handed over to the Customer in electronic form are non-refundable on the grounds set out in clause 7.4 of this Offer. If the files delivered will not open, are damaged, are incomplete or do not match the agreed scope of work, clause 7.5 applies.
7.8. The Contractor may, at his discretion, offer the Customer a new date for the service.
8. Intellectual property rights in digital goods
8.1. The exclusive right to digital goods belongs to the Seller. Payment grants the Buyer the right to use the files received for the Buyer's own purposes, including in the Buyer's commercial activity as the author of the images being processed.
8.2. The Buyer is not granted the right to transfer, resell, publish openly or otherwise distribute the files received to third parties.
9. Rights and obligations of the Parties
9.1. The Seller/Contractor undertakes to:
- provide accurate information about the goods and services;
- produce and deliver the goods, or provide the services, within the set deadlines;
- send the Buyer/Customer a till receipt in the manner prescribed by law;
- comply with the requirements of Russian law on consumer protection and personal data.
9.2. The Buyer/Customer undertakes to:
- provide accurate contact details and the information needed to fulfil the order;
- pay for the order in full before its fulfilment begins;
- accept the goods or the result of the services in the agreed manner.
10. Liability of the Parties
10.1. The Parties are liable for failure to perform or improper performance of their obligations in accordance with the applicable law of the Russian Federation.
10.2. The Seller/Contractor is not liable for delays or losses caused by the actions of third parties (postal, courier and payment services, as well as the Telegram service and other communication services).
10.3. The Seller/Contractor's liability for each order is limited to the amount actually paid by the Buyer/Customer for that order.
11. Handling of claims and disputes
11.1. Claims regarding performance of the Contract are sent by the Buyer/Customer in writing to art@graykingdesign.com, describing the substance of the claim and enclosing supporting materials.
11.2. The Seller/Contractor reviews a claim within 10 (ten) business days of receiving it and notifies the Buyer/Customer of the decision taken.
11.3. If no agreement is reached, the dispute is to be heard in court at the place of registration of the Seller/Contractor.
12. Processing of personal data
12.1. Personal data is processed in accordance with Federal Law No. 152-FZ “On personal data”.
12.2. By placing an order and making payment, the Buyer/Customer consents to the processing of their personal data for the purpose of performing this Contract.
12.3. The terms on which personal data is processed are set out in the Personal Data Processing Policy and in the Consent to the Processing of Personal Data, published on grayking.ru and available in the Telegram bots @GKPhoto_bot and @GKDesign_bot in the “Documents” section.
13. Force majeure
13.1. The Parties are released from liability for failure to perform their obligations under this Contract in the event of force majeure: natural disasters, accidents, military action, acts of state authorities, epidemics, power outages and other events that the Party could neither foresee nor prevent.
13.2. The deadline for performing obligations is extended for the duration of such circumstances.
14. Term and amendment of the terms
14.1. This Offer is valid indefinitely from the moment it is published on the Platforms.
14.2. The Seller/Contractor may amend the terms of the Offer unilaterally. A new version takes effect from the moment it is published and applies to orders placed after the date of publication.
